IMPORTANT NOTICE — PLEASE READ CAREFULLY
Flight Trace LLC is not a registered investment adviser or broker-dealer. The Service does not provide investment advice. Data and outputs may contain errors and must not be relied upon as the sole basis for any trading or investment decision. See Sections 5, 6, and 7.
1. Acceptance of Terms
Flight Trace LLC, a Delaware limited liability company ("FlightTrace," "we," "us," or "our"), provides the FlightTrace platform, including the website at flighttrace.co and any related applications, dashboards, alerts, application programming interfaces, AI-assisted features (if and when offered), data exports (where enabled under Section 9.11), and other products, features, or services we may offer from time to time (collectively, the "Service"), subject to your compliance with these Terms of Service ("Terms"). Particular features vary by subscription tier and over time, and the availability of any feature is governed by Section 17.
By accessing or using the Service, creating an account, or clicking to accept these Terms, you represent that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service. These Terms apply to all users of the Service, whether you access it through a paid subscription, a free trial, or a beta, preview, promotional, invite-only, or other unpaid program.
We may modify these Terms from time to time. We will provide at least 30 days' advance notice of any material changes that adversely affect you, by email or in-product notification. Your continued use of the Service after the effective date of changes constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.
2. Eligibility and Accounts
2.1 Eligibility.
You must be at least 18 years old and capable of forming a binding contract under applicable law to use the Service. By using the Service, you represent and warrant that you meet these requirements.
2.2 Account Registration.
To access most features of the Service, you must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the accuracy of your account information and for all activity that occurs under your account.
2.3 Account Security.
You are responsible for safeguarding your account credentials and must not share your username, password, or access tokens with any other person. You must notify us immediately of any unauthorized use of your account or any suspected security breach. We may, in our discretion, suspend any account that exhibits signs of credential sharing until you verify ownership of the account.
2.4 No Sharing or Transfer.
Accounts are personal to the account holder and may not be sold, transferred, assigned, or shared. Access to the Service under one account by multiple individuals is strictly prohibited and may result in immediate termination.
3. User Representations
By using the Service, you represent and warrant to FlightTrace, on a continuing basis, that each of the following is true:
- You are accessing the Service under an individual, single-user account for your own use, and you are not sharing your account with, or accessing it on behalf of, any other person, and you do not intend to redistribute, resell, or otherwise make outputs of the Service available to any third party, except as permitted by Sections 8.1 and 9.7.
- You understand that the Service provides data and analytics, not investment advice, and you will not rely on outputs from the Service as the sole or primary basis for any trading, investment, or business decision.
- You are solely responsible for compliance with all laws, regulations, and policies applicable to your use of the Service, including, without limitation, U.S. federal and state securities laws, prohibitions against insider trading and the misuse of material non-public information, and any personal-trading, pre-clearance, blackout-period, restricted-list, or compliance policies imposed by your employer or any regulatory body to which you are subject.
- You will not use the Service in connection with any trading, transaction, or activity that involves the misuse of material non-public information or that would constitute a breach of any duty of trust or confidence.
- The information you provide to us, including registration information and any professional-status certifications, is true, accurate, and complete to the best of your knowledge, and you will promptly update such information if it changes.
4. Subscriptions, Fees, and Payment
4.1 Fees.
Access to certain features of the Service requires a paid subscription. Fees, billing cycles, and feature inclusions for each subscription tier are described on our pricing page and are incorporated by reference into these Terms.
4.2 Payment Processing.
All payments are processed by a third-party payment processor (Stripe, Inc.). We do not store full payment card information on our systems. By providing payment information, you authorize us and our payment processor to charge the applicable fees to your selected payment method.
4.3 Auto-Renewal and Affirmative Consent.
Certain subscriptions are offered on an automatically renewing basis. Where a subscription automatically renews, we will present the automatic-renewal terms — including the recurring price, the billing frequency, the renewal period, and how to cancel — clearly and conspicuously before you are charged, and we will obtain your express affirmative consent to those terms at the time of purchase. Unless otherwise stated, subscriptions automatically renew at the end of each billing cycle at the rate then applicable to your subscription plan (subject to Section 4.8) until you cancel.
4.4 Cancellation and Renewal Notices.
You may cancel at any time through your account settings using the same medium in which you subscribed (including online "click-to-cancel"), without obstruction or additional steps designed to impede cancellation. Cancellation takes effect at the end of the current billing cycle, and you will retain access to the Service until that time. Where required by applicable law, we will send periodic reminders of your automatic-renewal terms and how to cancel, and we will provide clear and conspicuous advance notice (in a form you can retain) before any renewal price increase or other material change takes effect, so that you have an opportunity to cancel before being charged.
4.5 Refunds.
All fees are non-refundable. We do not provide refunds or credits for partially used billing periods, unused access, or downgrades. If you cancel, you will retain access through the end of your current billing cycle, and you will not be charged for subsequent cycles. This does not apply (a) where we advertise a written money-back guarantee for your subscription plan, in which case the stated terms of that guarantee control, or (b) where a non-waivable right to a refund is required by applicable law.
4.6 Failed Payments.
If a payment is declined or reversed, we may suspend or terminate your access to the Service until the outstanding balance is paid, subject to any grace period we provide under Section 4.8. You agree to reimburse us for chargeback fees imposed by our payment processor and any third-party collection costs we actually incur in recovering amounts owed.
4.7 Taxes.
Fees are exclusive of applicable taxes. You are responsible for all sales, use, value-added, and similar taxes associated with your subscription, except for taxes based on our net income.
4.8 Founding and Promotional Rates.
Where we advertise a subscription rate as locked for your plan, that rate will continue to apply for as long as your subscription remains continuously active, notwithstanding Section 4.3. Your subscription remains "continuously active" if a failed payment is cured within the grace period we provide (during which we may retry your payment method and maintain your access). The locked rate ends upon cancellation, expiration of the grace period without successful payment, or downgrade, and any subsequent resubscription will be at our then-current rates.
5. Description of the Service and Data Sources
The Service provides data, analytics, and visualizations relating to the activity of corporate aircraft, including aircraft believed to be owned, operated, or used for the benefit of certain publicly traded companies and other entities.
5.1 Data Sources.
The Service compiles and processes information from a variety of third-party and public sources, including, without limitation:
- Automatic Dependent Surveillance-Broadcast ("ADS-B") signals, which are radio transmissions broadcast by aircraft and received by community-operated and commercial receiver networks;
- Federal Aviation Administration ("FAA") aircraft registration records, including the FAA Aircraft Registration Master File;
- Historical and archived aircraft registration and ownership records, including records that are no longer publicly available from their original source;
- Public corporate filings, including filings with the U.S. Securities and Exchange Commission;
- Other publicly available aviation, geographic, and corporate information; and
- Proprietary processing, modeling, and enrichment performed by FlightTrace.
5.2 Limited Verification.
Although FlightTrace applies reasonable, good-faith efforts to attribute aircraft and to process source data, FlightTrace does not, and cannot, independently verify the accuracy or completeness of underlying source data or of corporate or aircraft ownership records, and does not investigate the actual purpose, identity of passengers, or commercial significance of any flight. Any such efforts are not a guarantee of accuracy and create no representation or warranty as to any data or output. The Service is computed output over upstream data we do not control.
5.3 Service Limitations; Beta and Unpaid Access.
The Service has known, inherent limitations described throughout these Terms and is not designed or fit for, and you must not rely on it or any output for, use as a real-time data feed or for trade execution, operational, compliance, safety, or other time-sensitive purposes. FlightTrace may also make the Service, or particular features, available on a free, trial, beta, preview, promotional, or other unpaid or early-access basis. Such access is provided for evaluation only; the relevant features may be incomplete, unstable, inaccurate, delayed, or unavailable, and FlightTrace may add, modify, recalculate, reset, suspend, or discontinue them at any time, with or without notice. Unpaid or early-access use creates no entitlement to continued access, future features, pricing, data availability, or general-availability terms.
6. Data Accuracy and Inherent Limitations
YOU ACKNOWLEDGE AND AGREE THAT THE DATA AND OUTPUTS PROVIDED BY THE SERVICE ARE SUBJECT TO SIGNIFICANT INHERENT LIMITATIONS, INCLUDING THOSE DESCRIBED IN THIS SECTION 6. You agree that you will not rely upon any output of the Service as a sole or primary basis for any trading, investment, or business decision.
6.1 ADS-B Coverage and Reliability.
ADS-B is a radio-broadcast surveillance system received by a network of ground-based receivers. Coverage is incomplete and varies by geography, altitude, and time. Coverage gaps are common at low altitudes, in remote regions, in certain countries outside North America and Europe, and during periods of receiver outage. ADS-B signals can be missing, delayed, duplicated, corrupted, or spoofed. Aircraft transponders may be deactivated or malfunctioning, and aircraft may participate in FAA privacy programs or use operational practices that reduce, mask, delay, or complicate identification in certain data sources. For example, the FAA's Limiting Aircraft Data Displayed (LADD) program affects the distribution of FAA-provided flight data rather than the ADS-B broadcast itself, while the Privacy ICAO Address (PIA) program may make an aircraft more difficult to associate with its registered identity in ADS-B-derived data. As a result, some flights may be missing, delayed, misidentified, or difficult to attribute.
6.2 Aircraft Identification.
Aircraft are identified through Mode-S hexadecimal codes, registration markings, and other identifiers that may be reused, reassigned, spoofed, or incorrectly broadcast. Tail-number reuse, hex-code collisions, and registration-database lag may cause a flight to be associated with the wrong aircraft.
6.3 Aircraft-to-Company Attribution Is Probabilistic.
Corporate aviation ownership is deliberately opaque. Aircraft are commonly held through limited liability companies, trusts, special-purpose entities, management companies, charter operators, and fractional-ownership programs. The mapping of aircraft to publicly traded companies provided by the Service is a curated approximation based on registry data, public filings, and inference. A flight associated by the Service with a particular company may, in fact, reflect:
- Activity by a different operator that uses the same airframe;
- Personal use by an executive, family member, or other individual unrelated to corporate activity;
- A charter or third-party flight not undertaken on behalf of the company;
- An aircraft that has been recently sold, leased, or transferred without corresponding update to the registry; or
- A misattribution caused by shared, fractional, or management-company arrangements.
You should not assume that any individual flight identified by the Service reflects activity by, on behalf of, or for the benefit of the company to which it is attributed.
Attribution reflects FlightTrace's reasonable, good-faith analytical judgment applied to imperfect and incomplete public data. In some cases, FlightTrace attributes an aircraft to a company on the basis of indirect indicators even where the aircraft is not registered to that company in official records. Some aircraft owners request that the FAA withhold registration information from public dissemination, participate in FAA privacy programs (such as LADD or PIA), or hold aircraft through trusts, limited liability companies, or management companies that obscure beneficial ownership; in those cases, attributions may be based on historical or archived records, third-party sources, flight-pattern analysis, and other analytical inference, and may not match current official records. All attributions are provisional analytical judgments — expressions of FlightTrace's opinion based on the data sources described in Section 5 — and are not verified statements of fact about the ownership, operation, or use of any aircraft. This methodology is inherently imperfect, may produce incorrect attributions, and is not a representation or warranty that any aircraft is owned, operated, controlled, or used by, or for the benefit of, the company to which it is attributed.
6.4 Anomaly Outputs Are Statistical Observations.
Outputs of the Service that identify or describe "anomalies," "signals," "alerts," "patterns," or similar phenomena (including, without limitation, outputs relating to flight-frequency or activity surges, fleet convergence or synchronization, extended or rare-location stays, weekend activity, and inactivity) are statistical observations of deviations from historical patterns. They are not statements that any merger, acquisition, deal, corporate action, or other event is occurring, has occurred, or is likely to occur. False positives are inherent in any statistical detection system and occur frequently. The presence of an anomaly output does not mean that any particular event is more likely than not to occur with respect to any specific company or aircraft.
In addition, anomaly outputs depend on baseline assumptions, statistical thresholds, data grouping and grain choices, and the completeness of underlying data, and the detection itself may be incorrect. The Service may report an anomaly that does not reflect any actual deviation in real-world activity, and may fail to identify activity that would otherwise be of interest. An anomaly output is therefore not a representation that any deviation, pattern, event, or condition has in fact occurred.
6.5 Backtested and Historical Findings.
Any historical, backtested, or aggregate findings published or made available by the Service (including, without limitation, any reported lift, predictive value, or correlation) are population-level statistics derived from a backtested sample. Such findings do not represent a guarantee, prediction, or representation of future results, and they do not mean that any specific output of the Service has a corresponding individual probability of being a true signal. Past performance is not indicative of future results.
6.6 Pipeline and Processing.
The Service depends on a complex data pipeline involving third-party data feeds, ingestion processes, storage systems, and detection algorithms. Backfill gaps, ingestion failures, stale enrichment data, software bugs, model parameter changes, latency, and other technical issues may cause the Service to produce incorrect, incomplete, delayed, or misleading outputs. Outputs may be revised retroactively as upstream data is corrected or as our methods are refined.
6.7 No Real-Time Guarantee.
Although the Service may present data described as "live" or "recent," all data is subject to processing latency. The Service is not a real-time market-data feed and should not be used as one.
6.8 Copilot and Other AI-Generated Output.
The Service may include, if and when offered, an AI assistant ("Copilot") and other features that use large language models, generative artificial intelligence, or similar machine-learning systems to interpret your queries, generate database queries, summarize data, and produce conversational responses (collectively, "AI Output"). AI Output is subject to all of the limitations described elsewhere in this Section 6 and to the following additional limitations:
- AI Output may be inaccurate, incomplete, misleading, or fabricated. Large language models can produce confident-sounding statements that are not supported by any underlying data, a phenomenon commonly referred to as "hallucination." AI Output may include flight references, statistics, citations, company associations, or conclusions that do not correspond to any actual record in our data.
- AI Output may misinterpret your query. The model may answer a different question than the one you asked, conflate similar entities (for example, returning data for the wrong company or aircraft), or apply incorrect filters or time ranges to its underlying database queries.
- AI Output may be incomplete. The model may summarize a subset of relevant data and present it as comprehensive, or may omit material information that exists in our underlying data.
- AI Output is generated probabilistically. The same query may produce different outputs at different times, and outputs are not deterministic representations of the underlying data.
- AI Output is not reviewed by a human before delivery to you and is not endorsed or verified by FlightTrace.
YOU MUST NOT RELY ON AI OUTPUT AS A SOLE OR PRIMARY BASIS FOR ANY TRADING, INVESTMENT, OR BUSINESS DECISION. You are responsible for independently verifying any AI Output against the underlying data and other sources before acting on it. Where the Service provides links, references, or visualizations to underlying records, you should review those records directly rather than relying on the AI Output's summary or characterization of them.
If offered, Copilot is powered in part by large-language-model technology provided by third parties, and your use of Copilot is also subject to the applicable terms and acceptable-use policies of those third parties, which we will identify in or alongside the feature.
6.9 No Causal, Predictive, or Prescriptive Statements.
All outputs of the Service describe observed data and statistical deviations only. The Service does not state, and you must not infer that it states or implies, that any flight, movement, co-location, pattern, anomaly, or other output is caused by, explained by, evidence of, or predictive of any merger, acquisition, transaction, corporate action, or other event. No output constitutes a recommendation, suggestion, endorsement, or solicitation to buy, sell, or hold any security, or to take or refrain from taking any trading, investment, or other action. Any interpretation of, inference drawn from, or action taken on the basis of any output is solely your own, and you are solely responsible for it.
7. No Investment Advice; No Fiduciary Relationship
7.1 No Adviser; No Broker-Dealer.
Flight Trace LLC is not registered as an investment adviser with the U.S. Securities and Exchange Commission, the Financial Industry Regulatory Authority, any state securities regulator, or any other regulatory body. FlightTrace is not a broker-dealer. FlightTrace does not provide personalized investment advice, financial planning, tax advice, legal advice, or recommendations regarding the purchase, sale, or holding of any security, derivative, or other financial instrument.
7.2 Informational Purpose Only.
All content, data, analytics, alerts, signals, and outputs provided through the Service are for informational and research purposes only. Nothing in the Service constitutes, or should be construed as, an offer to sell, a solicitation of an offer to buy, a recommendation, or an endorsement of any security or investment strategy.
7.3 No Reliance.
You are solely responsible for evaluating the merits, risks, and suitability of any investment, trade, or financial decision based on your own research, due diligence, financial circumstances, investment objectives, and risk tolerance, and on the advice of qualified licensed professionals. You agree that you will not use the Service as the sole or primary basis for any such decision.
7.4 No Fiduciary Duty.
Your use of the Service does not create any fiduciary, advisory, or similar relationship between you and FlightTrace. We owe you no duty of care, loyalty, suitability, or best execution of any kind beyond those contractual obligations expressly set forth in these Terms.
7.5 Risk of Loss.
Trading and investing involve substantial risk, including the risk of total loss. You may lose some or all of your original investment. You should not invest funds you cannot afford to lose.
8. Individual Use; Compliance Representations
8.1 Individual Account; Professional Use Permitted; No Institutional Deployment.
The Service is provided on an individual, single-user basis. You may use the Service for your own research and analysis, including to inform your own individual work product in the course of your profession or employment. You may not, however: (a) share your account or access credentials, or permit any other person to use your account; (b) provide, redistribute, or systematically share the Service's data or outputs to or with any other person or organization, including your employer or colleagues, except as permitted by Section 9.7; or (c) integrate the Service or its outputs into any organizational system, process, product, or workflow, or otherwise use, deploy, or make the Service available on an institutional, enterprise, team, firm-wide, or other multi-user basis, except under a separate written agreement with FlightTrace. For clarity: an individual professional using the Service to inform their own research and work product is permitted; provisioning access to others, internal redistribution of data or outputs, and integration into organizational systems are not. If you wish to use the Service on behalf of an organization, or to provide access to multiple individuals, contact us to discuss enterprise terms.
8.2 Compliance with Personal-Trading Policies.
If you are subject to personal-trading restrictions, pre-clearance requirements, blackout periods, restricted lists, or similar policies imposed by your employer, a regulatory body, or any other party, you are solely responsible for complying with those policies in connection with your use of the Service. FlightTrace has no obligation to monitor, enforce, or facilitate compliance with any such policies and bears no responsibility for any violation thereof.
9. Permitted Use; Restrictions
9.1 License.
Subject to your compliance with these Terms and payment of all applicable fees, FlightTrace grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own individual research and analysis. Your account is a single-user account. Use of the Service on an institutional, enterprise, team, multi-user, redistributed, API-based, or systems-integrated basis is prohibited unless expressly authorized in a separate written agreement with FlightTrace (see Section 8.1).
9.2 Permitted Use of Outputs.
You may use outputs of the Service only for your own direct, human-readable review. Discussing or referencing individual outputs in your own work product and public commentary is addressed in Sections 8.1 and 9.7. Without our prior written consent, the following uses are prohibited:
- Automated trading, automated order generation, smart order routing, or use of outputs as an input to any algorithmic trading, execution, or order-management system;
- Use of outputs to train, fine-tune, or develop any machine-learning model, artificial-intelligence system, or derived dataset;
- Any other automated, programmatic, or machine-driven use of outputs.
9.3 No Redistribution.
You may not sell, resell, sublicense, lease, loan, transfer, distribute, publish, broadcast, or otherwise make available any outputs of the Service to any third party, in whole or in part, in any form or by any means, except as permitted by Section 9.7.
9.4 No Derivative Datasets.
You may not create derivative works, datasets, indices, signals, products, or services based in whole or substantial part on outputs of the Service.
9.5 No Scraping or Automated Access.
You may not, and may not permit any third party to, use any robot, spider, scraper, web crawler, data miner, or other automated means to access the Service, extract data from the Service, or interact with the Service, except through interfaces (such as our official API) that we expressly designate for automated access. You may not circumvent, disable, or interfere with any rate limit, authentication, security feature, or other technical limitation of the Service.
9.6 No Reverse Engineering.
You may not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, models, parameters, or underlying methodologies of the Service, except to the limited extent that applicable law expressly permits despite this prohibition.
9.7 Public Statements About the Service.
You may mention or describe your own experience with the Service, including in reviews, commentary, and social media. However, you may not: (a) present any output of the Service as established fact, as investment advice, or as a statement that any corporate event has occurred or will occur; (b) misrepresent or mischaracterize any output; or (c) attribute to FlightTrace any view, recommendation, or conclusion. Bulk reproduction or republication of outputs remains governed by Sections 9.3 and 9.4.
9.8 No Misuse.
You may not use the Service: (a) in violation of any applicable law or regulation, including securities laws and regulations against insider trading; (b) to harass, defame, stalk, or surveil any individual; (c) to target, locate, or track any individual person in violation of Section 9.10; (d) to attempt to gain unauthorized access to any system, account, or data; or (e) in any manner that could damage, disable, overburden, or impair the Service.
9.9 No Material Non-Public Information.
The Service is designed to process publicly available, commercially available, or third-party-sourced data. FlightTrace does not solicit, request, or knowingly receive material non-public information. You must not submit, upload, request analysis of, or attempt to cause the Service (including Copilot) to process any material non-public information, or any information obtained in breach of any duty of confidentiality or trust, any employment or fiduciary obligation, or any law.
9.10 No Individual Identification or Surveillance.
The Service is not designed to identify, track, monitor, or infer the location, movements, identity, conduct, or activities of any individual person, including any passenger, pilot, executive, employee, family member, or crew member. You may not use the Service to stalk, surveil, harass, threaten, or dox any individual; to monitor or follow the real-time or ongoing movements of any identified individual person; to determine any individual's current location or residence; or to combine outputs of the Service with other information in order to locate, identify, or target any individual person. Discussion of company- or fleet-level activity, including historical flights publicly attributed to a company, is not prohibited by this Section 9.10.
9.11 API, Bulk Export, and Automated Retrieval.
API access, bulk export, historical download, caching, automated retrieval, and integration of the Service or its outputs with any third-party system are prohibited unless expressly enabled under your subscription tier or a separate written agreement with FlightTrace. We may impose and change rate limits, usage caps, caching restrictions, attribution requirements, and audit rights, and may suspend or terminate access that exceeds or circumvents them.
10. Intellectual Property
10.1 Ownership.
As between you and FlightTrace, FlightTrace and its licensors own all right, title, and interest in and to the Service, including all software, data, databases, content, models, algorithms, designs, trademarks, logos, and all other intellectual property rights therein. The name "Flight Trace," "FlightTrace," the FlightTrace logo, and all related names and marks are trademarks of Flight Trace LLC. You may not use any of our trademarks without our prior written consent, except as expressly permitted by these Terms.
10.2 Feedback.
If you provide us with any suggestions, ideas, feedback, or recommendations regarding the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into the Service, without any obligation or compensation to you.
10.3 User Content.
To the extent you submit any content to the Service (including queries, configurations, watchlists, or notes), you retain ownership of such content. You grant FlightTrace a worldwide, non-exclusive, royalty-free license to host, store, process, and use such content as necessary to provide the Service to you and to maintain, develop, and improve the Service.
FlightTrace does not use your individual queries, watchlists, saved companies, notes, or account-level usage history to train third-party foundation models. FlightTrace may use aggregated or de-identified information that does not identify you or your account to operate, secure, analyze, and improve the Service. Any use of your content to train or improve models beyond this will be on an opt-in basis or as otherwise described in our Privacy Policy.
11. Third-Party Services and Sub-Processors
The Service relies on, integrates with, or links to third-party services and data providers, including, without limitation, cloud-infrastructure providers, payment processors, mapping providers, ADS-B receiver networks, and, if and when AI-assisted features are offered, large-language-model providers. Such third-party services are subject to their own terms and privacy policies, and FlightTrace does not control and is not responsible for the availability, accuracy, content, or practices of any third-party service. Your use of any third-party service is at your own risk.
Certain data made available through the Service may be subject to restrictions imposed by third-party data providers. Your use of the Service is also subject to any applicable provider restrictions that FlightTrace discloses to you. FlightTrace may modify, suspend, delay, remove, or restrict any data or output if required by law, by provider or source terms, or by source availability or operational constraints, without liability to you.
12. Disclaimers

WITHOUT LIMITING THE FOREGOING, FLIGHT TRACE MAKES NO REPRESENTATION OR WARRANTY THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE DATA, ANALYTICS, AI OUTPUT, OR OTHER OUTPUTS PROVIDED BY THE SERVICE WILL BE ACCURATE, COMPLETE, RELIABLE, OR FREE FROM ERROR, OMISSION, FABRICATION, OR DELAY; (D) ANY ANOMALY, SIGNAL, ALERT, OR AI OUTPUT GENERATED BY THE SERVICE CORRESPONDS TO ANY ACTUAL CORPORATE EVENT, MERGER, ACQUISITION, FACT, OR OTHER OCCURRENCE; OR (E) ANY HISTORICAL, BACKTESTED, OR AGGREGATE FINDING WILL PREDICT FUTURE RESULTS.
YOU ASSUME ALL RISK ARISING FROM YOUR USE OF THE SERVICE. NO ADVICE OR INFORMATION OBTAINED FROM FLIGHT TRACE OR THROUGH THE SERVICE, WHETHER ORAL, WRITTEN, OR GENERATED BY ANY ARTIFICIAL-INTELLIGENCE SYSTEM, WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL FLIGHT TRACE, ITS AFFILIATES, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOST TRADING OPPORTUNITY, LOST GOODWILL, LOST DATA, COST OF SUBSTITUTE PRODUCTS OR SERVICES, OR ANY DAMAGES ARISING OUT OF OR RELATING TO ANY TRADE, INVESTMENT, OR FINANCIAL DECISION YOU OR ANY THIRD PARTY MAKES OR FAILS TO MAKE, WHETHER OR NOT FLIGHT TRACE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE THEORY OF LIABILITY.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLIGHT TRACE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO FLIGHT TRACE FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
THE LIMITATIONS IN THIS SECTION 13 APPLY TO ALL CLAIMS, REGARDLESS OF WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR FRAUD.
14. Indemnification
You agree to defend, indemnify, and hold harmless FlightTrace, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all third-party claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation, including any securities or trading-related law or regulation; (d) any trade, investment, or financial decision made or omitted in reliance on the Service; or (e) your violation of any third-party right, including any intellectual property, privacy, or contractual right. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.
15. Termination
15.1 By You.
You may terminate your subscription and account at any time through your account settings. Termination takes effect at the end of the then-current billing cycle, except as expressly provided in our refund policy in Section 4.5.
15.2 By Us.
We may suspend or terminate your access to the Service, with or without notice, if: (a) you breach these Terms; (b) we are required to do so by law; (c) we reasonably believe your use of the Service poses a security, legal, or reputational risk to FlightTrace, its users, or any third party; (d) you engage in conduct we determine, in our discretion, to be fraudulent, abusive, or harmful; or (e) we discontinue the Service or any material portion of it.
15.3 Effect of Termination.
Upon termination, your right to access and use the Service will immediately cease. The following provisions survive termination: Sections 2.4, 3, 4 (with respect to fees accrued or owed prior to termination), 6, 7, 8, 9, 10, 12, 13, 14, this Section 15.3, and Sections 16 through 21.
16. Privacy
Our collection, use, and disclosure of personal information in connection with the Service is described in our Privacy Policy, located at https://flighttrace.co/privacy, which is incorporated by reference into these Terms. If you are a California resident, you have certain rights under the California Consumer Privacy Act, as described in our Privacy Policy.
17. Changes to the Service
We are continuously developing and improving the Service. We may, in our discretion and without liability to you, add, modify, suspend, or discontinue any feature, functionality, data source, methodology, or output of the Service at any time. We are not obligated to maintain backward compatibility of any feature, dataset, or interface.
18. Governing Law and Venue
These Terms, your use of the Service, and any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a "Dispute") will be governed by and construed in accordance with the laws of the State of California, without regard to its conflicts-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any Dispute will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you and FlightTrace consent to the personal jurisdiction and venue of such courts.
19. Export and Trade Compliance
You may not access or use the Service from, or export, re-export, or transfer the Service to, any country, person, or entity subject to U.S. sanctions or export controls, including any country or region designated by the U.S. government as subject to a comprehensive embargo, or to any individual or entity included on any U.S. government list of restricted parties. You represent and warrant that you are not located in, under the control of, or a national or resident of any such country and are not on any such list.

Notices from FlightTrace to you may be provided by email to the address associated with your account, by posting on the Service, or by any other reasonable means. Notices from you to FlightTrace must be sent in writing to:

21. General Provisions
21.1 Entire Agreement.
These Terms, together with any policies or documents expressly incorporated herein (including our Privacy Policy and any pricing-page terms), constitute the entire agreement between you and FlightTrace regarding the Service and supersede any prior agreements between us regarding the same subject matter.
21.2 Assignment.
You may not assign or transfer these Terms, in whole or in part, by operation of law or otherwise, without our prior written consent, and any attempted assignment in violation of this Section will be void. We may assign these Terms without restriction, including in connection with any merger, acquisition, financing, sale of assets, or change of control.
21.3 Force Majeure.
Neither party will be liable for any failure or delay in performance to the extent caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, civil unrest, labor disputes, governmental actions, internet or telecommunications failures, third-party data-source outages, and natural disasters.
21.4 Waiver.
No waiver of any provision of these Terms will be effective unless in writing and signed by FlightTrace. The failure of either party to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
21.5 Severability.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be modified to the minimum extent necessary to render it valid and enforceable while preserving the parties' original intent.
21.6 No Third-Party Beneficiaries.
Except as expressly provided herein, these Terms do not confer any rights or remedies on any third party.
21.7 Independent Contractors.
You and FlightTrace are independent contractors. Nothing in these Terms creates any partnership, joint venture, agency, employment, or fiduciary relationship between the parties.
21.8 Electronic Communications.
By using the Service or providing your email address, you consent to receive communications from us electronically, including notices, disclosures, agreements, renewal reminders, and other records, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing. Where required by law, we will provide notices in a form that you can retain.
21.9 Community Spaces.
Your subscription includes access to our members-only community space, currently a Discord server hosted by a third party. Participation is optional. Community access is a revocable privilege and not a licensed part of the Service: we may restrict, suspend, or remove your access at any time, with or without notice, and the community may change or end without affecting the remainder of the Service or entitling you to any refund.
By joining the community you agree to these Terms and to the community rules we post, which we may update from time to time. Within the community you may not: (a) without our prior written permission, advertise, promote, or solicit for any product, service, newsletter, fund, or business, including your own; (b) without our prior written permission, solicit other members for any purpose; (c) post data, research, or other material you are not licensed to redistribute; or (d) post, discuss, or encourage conduct that would violate applicable law, including securities and antitrust law — including coordinating trading activity to affect the price of any security, and sharing or seeking material non-public information.
Discussing outputs of the Service with other members inside the members-only community space is permitted; posting outputs anywhere accessible to non-members remains governed by Section 9.3. Content posted by community members reflects the views of its authors, not of FlightTrace. We do not verify, endorse, or guarantee the accuracy of anything any member posts, and no community content is investment advice. Sections 6, 7, 12, and 13 apply to community content as they do to outputs of the Service.
21.10 International Use.
The Service is operated from the United States and is directed to users in the United States. We make no representation that the Service, or any content or output available through it, is appropriate, lawful, or available for use in any other location. If you access the Service from outside the United States, you do so on your own initiative and at your own risk, and you are responsible for compliance with the laws of your own jurisdiction, including any applicable data-protection, financial, and tax laws. Any offer of the Service, or of any feature or content, is void where prohibited.

Section headings are for convenience only and do not affect interpretation of these Terms.
